Terms of Service

THESE TERMS OF SERVICE (the “Agreement”) GOVERN YOUR RECEIPT, ACCESS TO, AND USE OF THE SERVICES PROVIDED BY AI BotKit (“AI BotKit”, “we”, or “our”). BY (A) PURCHASING ACCESS TO THE SERVICE THROUGH AN ONLINE ORDERING PROCESS THAT REFERENCES THIS AGREEMENT, (B) SIGNING UP FOR A FREE OR PAID PLAN VIA A PLATFORM THAT REFERENCES THIS AGREEMENT, OR (C) CLICKING A BOX INDICATING ACCEPTANCE, YOU AGREE TO BE BOUND BY THESE TERMS.
The individual accepting this Agreement does so on behalf of a company or legal entity (“Customer”) and represents they have the authority to bind such entity. If you do not have such authority or do not agree to these terms, do not use the Service.
1. The Service
1.1 Service Description
AI BotKit provides a no-code chatbot builder platform for websites, enabling customers to deploy website-embedded chatbots for lead generation, customer engagement, and instant support. The service is delivered as a cloud-based widget, often embedded as part of a support/help experience.
Customer-generated data, chatbot configurations, uploaded content, and any form submissions through the bot constitute “User Submissions.” Customer is fully responsible for such content.
1.2 Subscription Access
A Customer may subscribe to AI BotKit by selecting a plan via our website or linked platform. The Customer is granted access to the Service for the duration of the selected subscription (“Subscription Period”). Access is limited to authorized individuals (“Users”) under the Customer’s account for internal business use only.
1.3 Ownership
All rights, title, and interest in the AI BotKit platform, content, documentation, code, and software — including all intellectual property — remain with AI BotKit. Customers are granted a limited, non-exclusive, revocable license to access the Service during their Subscription Period, subject to these Terms.
1.4 User Permissions
Customers are responsible for assigning and managing roles/permissions for their Users. AI BotKit is not liable for misconfigured access or data exposure due to Customer-managed permission settings.
2. Restrictions
2.1 Customer Responsibilities
Customers are accountable for any activity that occurs through their accounts. They must ensure that their Users comply with these Terms, and will be liable for any misuse or breach.
2.2 Prohibited Uses
Customers may not, and may not permit others to:
Reverse engineer or extract source code from the Service
Modify, resell, rent, or sublicense the Service
Use the Service to distribute malware or spam
Circumvent API limits or interfere with Service performance
Use the platform in violation of laws or third-party rights
Compete with AI BotKit using derived works
AI BotKit reserves the right to suspend accounts for abuse, security risks, or policy violations.
3. Third-Party Services
Customers may choose to integrate third-party tools (e.g., CRMs, email systems) with AI BotKit. Such integrations are used at the Customer’s risk and governed by the terms of those providers. AI BotKit disclaims responsibility for third-party service behavior, data handling, or outages.
4. Financial Terms
4.1 Fees and Charges
Subscription fees (“Fees”) are as displayed during the plan selection or order process. Unless otherwise stated, all payments are due in INR/USD and are non-refundable.
4.2 Billing and Payment
AI BotKit processes payments via secure third-party payment processors. The Customer must ensure accurate billing details are maintained and agrees to automated billing for renewal periods.
4.3 Taxes
All fees exclude applicable taxes. Customers are responsible for paying any VAT, GST, or similar charges as required by law.
4.4 Late Payment
Failure to pay may result in account suspension. AI BotKit reserves the right to pursue unpaid amounts, including collection fees and legal costs.
5. Term and Termination
5.1 Term
This Agreement begins upon signup and continues through the active Subscription Period unless terminated earlier in accordance with this section.
5.2 Cancellation
Customers may cancel their subscriptions from the account dashboard or by written notice. Upon cancellation, access will be available until the end of the current billing cycle, with no refunds for the remaining period.
5.3 Termination for Cause
Either party may terminate this Agreement with written notice if the other breaches material terms and fails to remedy the breach within 30 days.
5.4 Effect of Termination
Upon termination, all licenses cease. AI BotKit will delete user data after a 30-day grace period unless retention is legally required. AI BotKit may retain anonymized service usage data for analytics.
6. Disclaimers
The Service is provided “as is.” AI BotKit disclaims all warranties, express or implied, including merchantability, fitness for purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.
7. Limitation of Liability
To the maximum extent permitted by law, AI BotKit will not be liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by the Customer in the 12 months preceding the claim.
8. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary information exchanged during the term of this Agreement. This includes technical, business, and customer data, except where disclosure is required by law.
9. Data Protection and Usage
9.1 Personal Data
Customers consent to AI BotKit collecting and processing User Information (such as name, email, IP address) for the purpose of delivering the Service.
9.2 User Submissions
Customers retain ownership of the data submitted via bots, and grant AI BotKit the limited right to process it solely to provide the Service.
9.3 Service Data
AI BotKit may use anonymized, aggregate data from service usage to improve system performance and customer experience.
10. General Terms
10.1 Publicity
With prior consent, AI BotKit may identify Customers and use logos in promotional materials or case studies.
10.2 Force Majeure
AI BotKit is not liable for delays caused by events beyond reasonable control including natural disasters, internet outages, or government restrictions.
10.3 Modifications
We may revise these Terms with 30 days’ notice via email or site updates. Continued use constitutes acceptance.
10.4 Governing Law
This Agreement is governed by the laws of Maharashtra, India. Any legal disputes shall be resolved in the courts located in Thane, Maharashtra.
10.5 Entire Agreement
These Terms, along with our Privacy Policy and any plan-specific agreements, constitute the entire agreement between the Customer and AI BotKit.
